VIKRYA is an online marketplace that allows eligible users to buy and sell products through different listing formats, including:
- Fixed-price (“Buy Now”) listings; and
- Time-limited auction listings.
The Platform provides technology and marketplace services that facilitate interactions between buyers and sellers. Unless expressly stated otherwise, the Company is not the owner, manufacturer, distributor, or seller of products listed by third-party sellers.
Each seller is responsible for the accuracy, legality, quality, condition, availability, and fulfillment of their listed products.
To use the Platform, you must:
- Be legally capable of entering into a binding agreement;

- Use another user's account without authorization;

Identity Verification and KYC
To protect the integrity of the marketplace, we may require users, particularly sellers and users participating in auctions, to complete identity verification or Know Your Customer (“KYC”) procedures.
Verification may involve information such as:
- Full name;
- Contact information;
- Date of birth;
- Government-issued identification;
- Address information;
- Business information; and
- Payment or payout information.
The information requested will depend on applicable legal requirements and the services being used.
We may refuse, suspend, or restrict access to certain Platform features where required verification has not been completed or where verification cannot be successfully completed.
We may use authorized third-party service providers to conduct identity, fraud, compliance, and payment-related checks.
When purchasing a product through the Platform, you agree to:
- Review the listing carefully before purchasing;
- Verify the description, specifications, condition, quantity, and other relevant information;
- Provide accurate delivery and payment information;

• Fraudulent or suspicious activity is detected;
• Payment cannot be authorized;
• The seller is unable to fulfill the order;

Certain products may be offered through time-limited auctions.
Auction listings may display information such as:
- Starting bid
- Current bid
- Minimum bidding increment
- Auction start and end time
- Applicable bidding rules
- Other conditions shown on the listing
By placing a bid, you acknowledge that you are participating in a competitive purchasing process and agree to comply with the applicable auction rules.
Unless otherwise permitted by the Platform or required by applicable law, bids may not be withdrawn or cancelled once submitted.
Users may place bids on eligible auction listings in accordance with the minimum bid amount and bidding increment shown on the relevant auction page.
A bid will only be accepted if it satisfies the applicable auction requirements.
Users are responsible for reviewing the bid amount carefully before confirming a bid.
VIKRYA may reject, cancel, or disregard bids where reasonably necessary due to technical errors, suspected fraud, misuse of the Platform, or violation of applicable rules.
Auctions will generally close at the date and time displayed on the relevant listing.
The Platform's records may be used to determine:
- The time a bid was received
- The applicable bid amount
- The highest valid bid
- The auction closing time
- The winning bidder
Where a technical issue materially affects an auction, VIKRYA may review relevant system records and take reasonable corrective action.
The highest valid bidder at the end of an auction may be designated as the winning bidder, subject to the applicable auction conditions.
Winning an auction creates an obligation to complete the purchase unless cancellation is permitted under these Terms, the applicable listing conditions, or applicable law.
The winning buyer may receive a notification through the Platform, email, or another supported communication channel.
Payment must be completed within the applicable payment period displayed or communicated by VIKRYA.
Failure to complete payment may result in cancellation of the transaction or restrictions on future use of auction features.
Users who wish to sell products must complete any seller registration and verification procedures required by the Platform.
Sellers are responsible for ensuring that:
- They have the legal right to sell the listed product;
- Listings are accurate and complete;
- Product descriptions are not misleading;
- Images accurately represent the product;
- Prices and auction settings are correct;
- Products comply with applicable laws;
- Products are properly packaged and shipped; and
- Orders are fulfilled within the applicable timeframe.
Sellers must not list products that they do not possess or cannot reasonably fulfill, unless the listing explicitly permits such arrangements and they are lawful.
A seller must provide accurate information for every listing.
Listings may include information such as:
- Product name;
- Description;
- Photographs;
- Condition;
- Dimensions;
- Quantity;
- Brand or manufacturer;
- Starting price;
- Fixed selling price;
- Auction duration;
- Shipping information; and
- Any known defects or limitations.
Sellers must not make false, deceptive, exaggerated, or misleading claims.
The Company may review, edit, restrict, remove, or reject listings that violate these Terms or applicable policies.

Prohibited Products and Activities
Users may not list, purchase, promote, distribute, or facilitate transactions involving products or activities prohibited by applicable law or Platform policy.
Prohibited content may include, without limitation:
- Illegal goods;
- Stolen property;
- Counterfeit products;
- Fraudulent documents;
- Products that infringe intellectual property rights;
- Illegal drugs or controlled substances;
- Weapons or other restricted items where prohibited;
- Hazardous materials;
- Products prohibited from online sale;
- Sexually exploitative or illegal content;
- Items obtained through criminal activity;
- Financial scams or fraudulent investment products; and
- Any other products or services that the Company determines are inappropriate or unlawful.
We reserve the right to remove prohibited listings and take appropriate action against accounts involved in such activity.

Seller Fees and Platform Charges
The Platform may charge sellers and/or buyers fees for certain services.
Applicable fees may include:
- Listing fees;
- Transaction fees;
- Marketplace commissions;
- Payment processing charges;
- Shipping-related charges;
- Promotional fees; or
- Other service charges.
Applicable fees will be displayed or communicated before they become payable wherever reasonably practicable.
The Company may modify its fee structure from time to time. Changes will generally apply to future transactions unless otherwise required by law.
Third-party payment providers may charge additional processing fees according to their own terms.
Payments must be made using payment methods supported by the Platform.
Payment information may be processed by third-party payment providers. The Company generally does not directly store complete payment-card information unless expressly stated otherwise.
You authorize the applicable payment provider to process charges associated with your transactions.
If a payment fails, is reversed, disputed, or otherwise becomes invalid, the Company may suspend the relevant transaction or account until the issue is resolved.
Users must not use fraudulent, unauthorized, stolen, or otherwise invalid payment methods.
Eligible sellers may receive proceeds from completed transactions after applicable fees, refunds, chargebacks, adjustments, or other permitted deductions.
Payout timing may vary depending on factors such as:
- Payment-provider requirements
- Seller verification status
- Transaction status
- Refunds or payment reversals
- Fraud or compliance checks
- Applicable laws and regulations
VIKRYA or its payment service providers may delay a payout where reasonably necessary to review suspected fraud, unauthorized activity, payment issues, policy violations, or legal requirements.
Unless otherwise specified, sellers are responsible for preparing and dispatching products purchased through the Platform.
Sellers are expected to:
- Package products appropriately
- Provide accurate shipping information
- Dispatch products within the applicable timeframe
- Comply with applicable shipping and delivery requirements
Any delivery date or delivery period shown on the Platform is an estimate unless expressly stated otherwise.
VIKRYA is not responsible for delays caused by logistics providers, incorrect delivery information, weather, transportation disruptions, government restrictions, or other circumstances outside its reasonable control.

Returns, Refunds, and Cancellations
Returns, refunds, and cancellations will be handled in accordance with:
- Applicable law
- The seller's stated return conditions
- VIKRYA's applicable policies
- The circumstances of the relevant transaction
Where required by applicable consumer-protection law, users may have rights that cannot be excluded or restricted by these Terms.
VIKRYA may provide reasonable assistance in connection with transaction-related concerns, suspected fraud, materially inaccurate listings, or legal requirements.

Transaction-Related Issues
Buyers and sellers may contact VIKRYA Customer Support regarding transaction-related concerns.
Such concerns may include:
- Product condition
- Product authenticity
- Missing or incorrect items
- Delivery issues
- Damage during shipping
- Non-delivery
- Refund requests
- Material differences between a listing and the product received
VIKRYA may request reasonable supporting information such as photographs, communications, invoices, order details, or other relevant information.
Any assistance or action provided by VIKRYA will be subject to applicable Platform policies and legal requirements.

Fraud and Marketplace Manipulation
Users must not manipulate the Platform or its transactions.
Prohibited conduct includes:
- Fake or sham bids;
- Coordinated bidding designed to manipulate prices;
- Creating multiple accounts to influence auctions;
- Artificially inflating product prices;
- Using another person's account;
- Colluding with other users;
- Submitting bids without a genuine intention to purchase;
- Attempting to circumvent bidding limits;
- Manipulating reviews or ratings;
- Using bots or unauthorized software;
- Interfering with Platform systems; or
- Engaging in any fraudulent transaction.
We may investigate suspected manipulation and take action including cancellation of transactions, removal of listings, account restrictions, suspension, or termination.

Reviews and User-Generated Content
Users may be permitted to submit reviews, ratings, photographs, comments, questions, or other content.
You agree that content you submit:
- Is truthful to the best of your knowledge;
- Does not contain unlawful or defamatory material;
- Does not infringe another person's rights;
- Does not contain malicious software;
- Does not impersonate another person; and
- Is not submitted for the purpose of manipulating ratings or marketplace activity.
By submitting content to the Platform, you grant the Company a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, and use that content for operating, promoting, and improving the Platform, subject to applicable privacy laws.
We may remove content that violates these Terms or applicable law.
The Platform and its underlying technology, including its software, design, logos, trademarks, graphics, text, interfaces, databases, and other materials, are owned by or licensed to the Company and are protected by applicable intellectual property laws.
You may use the Platform only for its intended purposes.
You may not:
- Copy or reproduce Platform software or design;
- Reverse engineer or attempt to derive source code;
- Scrape or systematically collect Platform data;
- Reproduce Platform content for commercial purposes without authorization;
- Use Company trademarks without permission;
- Circumvent technical security measures; or
- Create derivative services based on the Platform without authorization.

Seller Intellectual Property
Sellers retain ownership of intellectual property that they lawfully own and upload to the Platform.
By uploading product photographs, descriptions, logos, videos, or other materials, sellers represent that they have the necessary rights to use that material.
Sellers grant the Company permission to use such materials as reasonably necessary to operate, advertise, promote, and provide the marketplace services.

Privacy and Personal Information
Your use of the Platform is also governed by our Privacy Policy.
We may collect and process information necessary to:
- Create and manage accounts;
- Verify identities;
- Process transactions;
- Provide customer support;
- Prevent fraud;
- Improve Platform functionality;
- Communicate with users;
- Comply with legal obligations; and
- Provide marketplace services.

By creating an account, you acknowledge that VIKRYA may send communications relating to:

- Bids

Where required by law, users may be provided with options to manage promotional communications.
Transactional, security, and service-related communications may still be sent where reasonably necessary to operate the Platform.
We aim to keep the Platform available and reliable but do not guarantee uninterrupted access.

The Platform may integrate with third-party services, including:
- Payment providers;
- Identity-verification providers;
- Shipping companies;
- Analytics providers;
- Authentication services; and

Third-party services may have separate terms and privacy policies.
The Company is not responsible for the independent actions, availability, or policies of third-party service providers, except where otherwise required by law.

Limitation of Liability
To the maximum extent permitted by applicable law, the Company will not be responsible for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

- Loss arising from seller or buyer conduct;

The Company operates the technology and marketplace infrastructure connecting buyers and sellers.
Unless expressly stated otherwise, we do not guarantee:
- The identity of a seller or buyer;
- The authenticity of a product;
- The quality or condition of a product;
- The legality of a seller's conduct;
- The accuracy of a seller's description;
- That a seller will complete a transaction; or
- That a buyer will complete a transaction.
Users should exercise appropriate judgment before entering into transactions.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its affiliates, directors, officers, employees, contractors, and service providers from claims, liabilities, losses, damages, costs, and expenses arising from:
- Your violation of these Terms;
- Your misuse of the Platform;
- Your violation of applicable law;
- Your infringement of another person's rights;
- Your products or listings;
- Your transactions with other users; or
- Fraudulent or unauthorized activity associated with your account.

Account Suspension and Termination
We may suspend, restrict, or terminate your account if we reasonably believe that you:
- Violated these Terms;
- Violated applicable law;
- Engaged in fraudulent activity;
- Manipulated auctions or transactions;
- Provided false information;
- Failed required verification;
- Failed to complete payments;
- Repeatedly violated marketplace policies; or
- Created a risk to other users or the Platform.
Where appropriate, we may provide notice and an opportunity to resolve the issue.
Termination does not automatically eliminate obligations that arose before termination.

Consequences of Termination
If your account is suspended or terminated:
- You may lose access to Platform features;
- Active listings may be removed;
- Pending transactions may be reviewed or cancelled where appropriate;
- Bidding privileges may be withdrawn; and
- Amounts legitimately owed may remain payable.
You must not create another account to circumvent a suspension or termination.
We may update these Terms from time to time to reflect:
• Changes to the Platform;
• Changes in business practices;
• New features;
• Legal or regulatory requirements; or
• Security and operational requirements.
When material changes are made, we may provide notice through the Platform, email, or other reasonable means.
Your continued use of the Platform after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
You agree that electronic communications, electronic notices, electronic confirmations, and electronic acceptance of these Terms may satisfy legal requirements for written agreements, where permitted by applicable law.
Your use of the Platform, including creating an account or completing a transaction, may constitute electronic acceptance of applicable agreements.
The Company will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:
- Natural disasters;
- War;
- Terrorism;
- Government actions;
- Internet or telecommunications failures;
- Cyberattacks;
- Labor disputes;
- Epidemics or pandemics;
- Transportation disruptions;
- Power failures; or
- Failures of third-party service providers.
Our obligations will resume as soon as reasonably practicable after the relevant circumstances cease.

Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India.
Subject to applicable consumer protection laws and other mandatory legal rights, any dispute arising out of or relating to these Terms or the use of the Platform shall be subject to the jurisdiction of the competent courts having jurisdiction under applicable law.
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable.
If modification is not possible, the affected provision will be removed without affecting the validity of the remaining provisions.
If we do not immediately enforce a provision of these Terms, that does not constitute a waiver of our right to enforce the provision later.
Any waiver must be expressly provided by the Company.
These Terms, together with the Privacy Policy and other policies expressly incorporated into them, constitute the agreement between you and the Company concerning your use of the Platform.
They supersede prior agreements or understandings relating to the same subject matter, except where otherwise expressly agreed.
